Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of Page Labs, a website design, build, and hosting subscription service operated by Byteex Ltd, a limited company registered in Cyprus with registered address at Gladstonos 16, Paphos, 8046, Cyprus.

In these Terms, “Page Labs,” “we,” “us,” and “our” all refer to Byteex Ltd, trading as Page Labs. Any reference to Page Labs is a reference to Byteex Ltd, and any obligation, liability, right, or remedy of Page Labs is an obligation, liability, right, or remedy of Byteex Ltd.

By subscribing to Page Labs, submitting a discovery form, or otherwise using our services, you (“you,” “Customer,” or “Subscriber”) agree to these Terms. If you do not agree, do not use the service.

2. The Service

Page Labs designs, builds, hosts, and maintains marketing websites for small businesses and online brands on a monthly subscription basis. Each subscription includes:

  • Up to 5 custom-designed pages tailored to your business
  • Hosting and SSL on infrastructure managed by Page Labs
  • DNS configuration to your existing domain
  • Ongoing maintenance, updates, and edits to your existing site (see Section 5)
  • Basic on-page SEO and accessibility considerations
  • Payment link integration (Stripe checkout link or equivalent)
  • Standard tracking pixel setup (Meta Pixel, Google Analytics, etc.) using credentials you provide
  • Standard policy pages (privacy, terms) based on templates

Page Labs builds marketing websites — websites that present a business, its services, and contact or booking information. Page Labs does not build web applications, software products, or feature-heavy platforms. See Section 6 for what is out of scope.

3. Subscription & Billing

3.1 Pricing

  • The Page Labs subscription is $175 USD per month.
  • There is no upfront cost or setup fee.
  • All prices are exclusive of VAT and any other applicable taxes. Where VAT applies based on your country of residence or business location, it will be added on top of the subscription price at checkout and on each subsequent invoice. The VAT rate applied is the rate in effect in your jurisdiction at the time of billing.
  • If you are a VAT-registered business in the EU, you may provide a valid VAT number at checkout and, where reverse-charge rules apply, VAT will not be added.
  • One-time fees (such as add-ons under Section 7 and the buyout fee under Section 11) are also exclusive of VAT and any applicable taxes will be added on top.

3.2 Billing Cycle

Your subscription begins on the day you complete checkout. You will be billed $175 USD on that day and on the same day each subsequent month until you cancel. We use Stripe to process all payments; by subscribing, you also agree to Stripe’s terms.

3.3 Failed Payments

If a scheduled payment fails, we will attempt to retry the charge over a reasonable period. If payment is not received within 7 days of the original billing date, we may suspend edits, hosting, or both until payment is restored. Persistent non-payment may result in termination under Section 14.

3.4 Price Changes

We may adjust pricing for new subscribers at any time. Existing subscribers will be given at least 30 days’ advance notice by email before any price change takes effect on their account, and may cancel before the new price applies.

4. Initial Build

4.1 Timeline

We aim to deliver your initial website within 7 business days from the moment you submit all required information through our discovery form, including business details, content, brand assets, and any login credentials we need to publish your site.

4.2 Customer Inputs

You are responsible for providing:

  • Your domain name (you bring your own — see Section 9)
  • Your logo and any brand assets (or instructions to create them within reason)
  • Accurate business information, services, pricing, and contact details
  • Any imagery, copy, or testimonials you want featured
  • Timely feedback during design reviews

4.3 Pause for Non-Response

If we do not receive required information or feedback from you for 7 consecutive days during the initial build or any subsequent edit cycle, we will pause work on your project. Billing continues during the pause, and paused time is not refundable. Work resumes when you respond.

4.4 Page Count

The initial build includes up to 5 pages. Additional pages requested during the initial build are subject to the add-on terms in Section 7.

5. Edits & Ongoing Maintenance

5.1 What an Edit Is

As long as your subscription is active, we provide unlimited edits to your existing website. An “edit” means a change to the existing structure of your site, including:

  • Updating copy, text, or wording on existing pages
  • Swapping or reordering existing sections
  • Replacing or adding images, icons, or videos within existing layouts
  • Adjusting colors, fonts, or visual styling within the existing design system
  • Updating links, buttons, contact details, or hours of operation
  • Updating SEO meta tags, page titles, or descriptions
  • Minor layout tweaks within the existing design
  • Updating tracking pixel IDs (Meta Pixel, Google Analytics, etc.) and embedded payment links

5.2 Turnaround

Most edits are delivered within 24–72 hours of the request. More involved edit batches typically ship within 5 business days. Turnaround times are targets, not guarantees, and may extend during peak demand or where the request requires additional clarification from you.

5.3 How to Request an Edit

Send edits to hello@pagelabs.io. Please describe the change clearly, reference the page or section, and attach any new content or assets. Edit requests are processed during standard business hours (Mon–Fri).

6. What Is Not Included

The Page Labs subscription is designed for marketing websites and is nota software development service. The following are explicitly out of scope and are not covered by “unlimited edits”:

  • New pages or new section types not included in the original build (subject to Section 7 and 8)
  • Web applications, dashboards, member areas, or login/account systems
  • User-generated content systems, forums, comments, or social features
  • Custom forms with backend logic beyond a basic contact form (e.g., multi-step calculators, conditional flows, file uploads with processing)
  • Custom integrations with third-party APIs, CRMs, ERPs, or back-office systems
  • E-commerce stores, multi-product catalogs, inventory systems, or shopping carts (a Stripe Checkout link is included; full storefronts are not)
  • Booking, scheduling, or reservation systems with backend availability logic (an embedded Calendly or similar third-party widget is fine)
  • Custom database design or data modeling
  • Mobile apps, browser extensions, or native software
  • Bespoke animations, 3D, WebGL, or game-like interactivity beyond standard motion design
  • Content writing, copywriting, photography, illustration, or video production (you provide the content)
  • Translation or maintenance of multiple language versions of the site
  • Migration of an existing complex website with custom functionality
  • SEO services beyond on-page basics (no off-site link building, content marketing campaigns, or technical SEO audits)
  • Paid advertising management or campaign creation
  • Email marketing setup, newsletter design, or list management
  • Hosting of files, software, or assets unrelated to your website

If you need any of the above, we may offer it as a paid add-on (see Section 7), refer you to a partner, or decline if it is outside our service area.

7. Add-Ons & New Work

Anything beyond an “edit” as defined in Section 5.1 — including new pages, new section types, integrations, or scope listed in Section 6 — is treated as new work and must be agreed in advance.

7.1 Quoting

Send your request to hello@pagelabs.io. We will scope it and provide a one-time fixed-price quote or, where appropriate, a plan upgrade. Work begins only after you accept the quote in writing (email is fine) and the one-time charge is paid.

7.2 Goodwill Allowance

Each active subscriber receives, as a goodwill allowance, one (1) free new page OR one (1) free new section per subscription year, at the subscriber’s choice.

  • The allowance year resets on each anniversary of your subscription start date.
  • The allowance is per active subscription, not per page or per request.
  • Unused allowance does not roll over and has no cash value.
  • The new page or section must remain within the marketing-website scope (Section 6) — it cannot be used for web app features, custom integrations, or anything otherwise out of scope.
  • The allowance is forfeited if the subscription is cancelled, suspended, or terminated before it is used.
  • We may decline an allowance request that would require disproportionate work; in that case we will quote it as paid add-on instead.

8. Hosting

While your subscription is active, Page Labs hosts your website on infrastructure we manage (currently Vercel and related providers). Hosting includes:

  • Hosting and bandwidth at typical small-business levels of traffic
  • SSL certificates and HTTPS
  • Standard backups of your published site
  • Routine security and platform updates

We do not commit to a specific uptime guarantee, but we will use commercially reasonable efforts to keep your site available. We may temporarily restrict or rate-limit traffic that exceeds reasonable usage for a small-business website (for example, sustained extreme traffic spikes that resemble abuse), and may require you to upgrade or move to dedicated infrastructure if your usage is consistently outside that range.

9. Domain

You bring your own domain. Page Labs configures DNS records so the domain points to our hosting. You retain full ownership and control of your domain at your registrar at all times.

  • Page Labs does not register, purchase, transfer, or own domains on your behalf.
  • You are responsible for renewing and paying for your domain registration.
  • If you wish to use a domain you do not yet own, you must register it before we can connect it.

10. Intellectual Property & Ownership

10.1 Code and Design Are Ours

All website code, design files, design system components, templates, and underlying technology produced by Page Labs remain the exclusive property of Page Labs, including copyright and any associated rights. You receive a non-exclusive, non-transferable license to use the website we publish for your business only while your subscription is active.

10.2 Your Content Is Yours

Content you provide to us — including your logo, copy, images, videos, brand assets, customer testimonials, and business information — remains your property. You grant Page Labs a worldwide, royalty-free license to use, host, display, and modify that content solely to deliver the service to you.

10.3 Portfolio Use

Unless you tell us otherwise in writing, we may feature your finished website (including your business name, logo, and screenshots) in our portfolio, case studies, and marketing materials. You can opt out at any time by emailing hello@pagelabs.io.

11. Code Buyout (After 12 Months)

After 12 consecutive months of active, paid-up subscription, you may purchase the source code of your website and continue hosting it independently.

  • Buyout fee: $3,500 USD, one-time, in addition to any subscription owed.
  • Eligibility requires 12 consecutive months without cancellation, suspension, or unpaid invoices.
  • On buyout, we deliver the source files and assist with a one-time handoff to your hosting of choice. Migration support is limited to delivering the code and answering reasonable handoff questions; we do not configure your new infrastructure.
  • On completion of the buyout, your Page Labs subscription ends. We are no longer responsible for hosting, edits, maintenance, security updates, or support after handoff.
  • Templates, design system code, internal tooling, third-party services, and any code not specific to your site are not included in the buyout.
  • You agree not to resell or relicense the delivered code as a template or theme.

If you cancel your subscription before reaching 12 consecutive months of active subscription, the code remains the property of Page Labs and the buyout option is not available.

12. Cancellation

  • You may cancel your subscription at any time by emailing hello@pagelabs.io.
  • There are no cancellation fees or penalties.
  • Cancellation takes effect at the end of your current billing period. We do not pro-rate or refund unused days within a paid period (see Section 13 for refund exceptions).
  • On cancellation, your website will be taken offline at the end of the current billing period. The code remains the property of Page Labs unless you have completed a buyout under Section 11.
  • We will retain your project data for a limited period after cancellation (typically 90 days) in case you wish to reactivate or to comply with legal obligations, after which it is securely deleted in accordance with our Privacy Policy.

13. Refund Policy

13.1 Initial-Build Satisfaction Guarantee

If you are not satisfied with the initial design we deliver, we will revise it at no extra cost. If, after a reasonable round of revisions, you still do not wish to proceed and have not approved or launched the site, you may request a full refund of the subscription fees paid to date during the initial build phase.

13.2 No Refunds After Approval

Once you approve the website (whether by written confirmation, requesting it be made live, or actively using the launched site), all subsequent subscription fees are non-refundable. This includes any month in which you used edits, hosting, or any other part of the service.

13.3 Pauses Are Not Refundable

Periods during which work is paused due to non-response on your end (Section 4.3) are not refundable.

13.4 Add-Ons

One-time add-on fees (Section 7) are non-refundable once work has begun.

14. Acceptable Use Policy

You agree not to use Page Labs to build, host, or distribute websites or content that:

  • Violates any applicable law or regulation (Cyprus, your jurisdiction, or any jurisdiction the site is intended to reach)
  • Constitutes child sexual abuse material (CSAM) or any sexual content involving minors
  • Promotes, incites, or glorifies violence, terrorism, hate based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected categories
  • Contains adult or pornographic content, escort services, or sexually explicit material
  • Engages in phishing, scams, fraud, deceptive marketing, fake reviews, fake testimonials, or impersonation
  • Distributes malware, spyware, ransomware, viruses, or any malicious code
  • Infringes intellectual property rights — including copyright, trademark, or trade secrets — that you do not own or are not licensed to use
  • Operates spam infrastructure, mass unsolicited email, SMS pumping, or unsolicited bulk messaging
  • Provides unlicensed gambling, betting, lotteries, or sweepstakes
  • Promotes get-rich-quick schemes, multi-level marketing (MLM), pyramid schemes, or "guaranteed return" investment offers
  • Sells unregulated financial products, securities, ICOs, unregistered crypto offerings, or token sales
  • Sells weapons, ammunition, controlled substances, illegal drugs, prescription drugs without a license, tobacco/vaping products to minors, or any other goods restricted by Stripe or our infrastructure providers
  • Violates the acceptable-use policies of Stripe (https://stripe.com/restricted-businesses) or Vercel (https://vercel.com/legal/fair-use-policy), since their restrictions apply transitively to anything we host or process
  • Harasses, threatens, dox, or stalks any person
  • Misrepresents your identity, business, qualifications, or licensure

We may, at our sole discretion, refuse to onboard a project that conflicts with this section, or suspend or terminate an existing subscription that violates it. In cases of egregious violation (illegal content, CSAM, fraud, malware), termination is immediate and without refund of any kind.

15. Suspension & Termination

15.1 By You

You may cancel at any time under Section 12.

15.2 By Us

We may suspend or terminate your subscription if:

  • Payment fails and is not restored within 7 days (Section 3.3)
  • You violate the Acceptable Use Policy (Section 14)
  • You fail to respond for an extended period and the project becomes unworkable
  • Your usage materially exceeds reasonable limits for a small-business marketing website
  • We are required to do so by law, regulation, or a directive from our infrastructure or payment providers
  • You attempt to misuse, reverse-engineer, copy, or resell our code, design system, or internal tooling outside of a legitimate buyout under Section 11

Where reasonably possible, we will notify you of the suspension or termination and provide an opportunity to cure non-egregious issues. Termination for AUP violation, illegal use, or fraud is effective immediately and without refund.

16. No Warranty / Service As-Is

Page Labs is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, or any specific business outcome (including conversion rates, search-engine rankings, traffic, revenue, or sales).

We do not guarantee that your website will be free from bugs, that hosting will be uninterrupted, that any third-party service we integrate (Stripe, Calendly, analytics platforms, etc.) will remain available, or that the service will achieve any particular result for your business.

17. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Page Labs, its officers, directors, employees, contractors, or affiliates be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, arising from or in connection with these Terms or the service, whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any and all claims arising out of or relating to these Terms or the service is limited to the amount you actually paid Page Labs in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the limitations above apply to the maximum extent permitted by law.

18. Indemnification

You agree to defend, indemnify, and hold harmless Page Labs and its officers, directors, employees, contractors, and affiliates from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Content you provide to us (including any claim that it infringes a third party's rights or violates any law)
  • Your use of the website we build for you, including any claims about your business, products, services, claims, testimonials, or marketing
  • Your violation of these Terms or the Acceptable Use Policy
  • Your violation of any law or regulation
  • Any claim by a third party (including your customers, partners, vendors, or regulators) arising from the operation of your website or business

19. Changes to These Terms

We may update these Terms from time to time to reflect changes in our service, legal requirements, or business practices. When we do, we will update the “Last Updated” date at the top and, for material changes, provide additional notice (such as email or a prominent banner). Continued use of the service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, your remedy is to cancel under Section 12.

20. Governing Law, Jurisdiction & Disputes

20.1 Governing Law

These Terms, and any dispute, claim, or controversy arising from or relating to them, the service, or your relationship with Page Labs (whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory), are governed exclusively by the laws of the Republic of Cyprus, without regard to its conflict-of-laws rules and without regard to the United Nations Convention on Contracts for the International Sale of Goods.

20.2 Exclusive Jurisdiction & Venue

You agree that any claim, action, proceeding, suit, or dispute against Page Labs or any of its officers, directors, employees, contractors, or affiliates shall be brought exclusively in the competent courts of Paphos, Cyprus, and you irrevocably submit to the exclusive personal jurisdiction and venue of those courts for the resolution of any such matter.

You waive any objection to venue or jurisdiction in the courts of Paphos, Cyprus, including any objection based on forum non conveniens, inconvenience of forum, or that proceedings have been brought in an inappropriate forum.

20.3 No Class or Collective Actions

To the maximum extent permitted by applicable law, all claims must be brought on an individual basis. You waive any right to participate in any class action, collective action, mass action, or representative proceeding against Page Labs, and you agree that no claim shall be consolidated with the claims of any other party.

20.4 Law Enforcement & Regulatory Cooperation

Page Labs cooperates with valid legal requests under the laws of Cyprus and applicable European Union law. Requests from authorities outside Cyprus or the EU are processed only where they are recognized under Cyprus law, EU law, or an applicable international cooperation framework. All law-enforcement inquiries should be addressed to hello@pagelabs.io.

20.5 Mandatory Consumer Rights

If you are a consumer in the European Union or another jurisdiction whose mandatory consumer-protection laws prohibit certain choice-of-law or choice-of-forum clauses, those mandatory rules apply to the limited extent legally required, and nothing in this Section overrides your non-waivable consumer rights to bring claims under applicable consumer law in your country of residence. In all other respects, including all business-to-business relationships, this Section 20 applies in full.

21. General

  • These Terms, together with our Privacy Policy, constitute the entire agreement between you and Page Labs regarding the service and supersede any prior understandings.
  • If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
  • Our failure to enforce any provision is not a waiver of that provision.
  • You may not assign or transfer your subscription or these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Headings are for convenience only and do not affect interpretation.
